Welcome to Esemie, a powerful SaaS business management tool designed to streamline your business processes, including invoicing, expense tracking, and inventory management. Before you proceed with using our services, please carefully read and understand the following terms and conditions. Your use of Esemie is conditioned upon your acceptance of and compliance with these terms.
1. INTRODUCTION
Welcome to ESEMIE ("we," "our," or "us"). These Terms & Conditions govern your use of our *Software-as-a-Service (SaaS) platform*, which provides tools and services to businesses. By using our services, you agree to these terms.
2. ACCEPTANCE OF TERMS
By accessing or using ESEMIE, you confirm that you have read, understood, and agreed to these Terms & Conditions. If you do not agree, you may not use our services.
3. USER ELIGIBILITY & ACCOUNT REGISTRATION
You agree to provide accurate, complete, and up-to-date information during registration.
You must own a registered business to access the payment link feature.
You are responsible for maintaining the security of your account credentials.
4. SUBSCRIPTION, PAYMENTS & BILLING
Our services operate on a subscription-based model with different plans.
Fees are billed monthly or annually, depending on your selected plan.
5. USE OF THE PLATFORM
You agree to use the platform only for lawful purposes.
You will not **interfere with or disrupt the platform’s functionality.
Unauthorized resale or redistribution of our services is strictly prohibited.
Use of our services for a unlawful activities outside our terms of service will result in immediate termination of your account.
6. DATA USAGE, MANAGEMENT & STORAGE
We collect and store data in compliance with the Nigeria Data Protection Regulation. Users may request data deletion in line with our privacy policy
7. DATA VALIDATION AND THIRD-PARTY SERVICES
As part of our commitment to providing secure and reliable services, we may use third-party applications and service providers, including but not limited to Paystack, to validate, verify, and authenticate user-provided data. These services may include identity verification, business registration validation, address confirmation, and payment processing authentication. By using our platform, you consent to our use of third-party validation services, and authorize us to share necessary information with these providers to facilitate compliance, fraud prevention, and risk management.
Data validation may involve cross-referencing the information you provide against external databases, government registries, financial institutions, or other reliable sources. While we make reasonable efforts to ensure the accuracy and security of these validation processes, we do not guarantee the completeness or correctness of third-party validation results. We are not liable for any delays, inaccuracies, or issues arising from third-party data validation.
If your data cannot be validated through any of our selected third-party services, we reserve the right to request additional documentation, restrict access to certain features, or suspend your account until successful verification is completed. Your data will only be shared with Paystack and other third-party validation services in accordance with our Privacy Policy and applicable Data Protection Laws. We do not sell or disclose user data beyond what is necessary for service provision and compliance.
8. PRIVACY & SECURITY
We implement industry-standard end to end data encryption and enterprise level authentication system. Users must keep their login credentials secure and notify us of any unauthorized use.
Users must report all incidence of unauthorized account access to Esemie to take appropriate security measures to prevent further access to the account until login credentials have been updated by the user.
9. INTELLECTUAL PROPERTY RIGHTS
All content, including software, trademarks, and branding, belongs to Esemie and users are prohibited from copying, distributing, or modifying our intellectual property without permission.
10. TERMINATION & ACCOUNT SUSPENSION
TERMINATION BY USERS
Users may terminate their account at any time through their account settings or by contacting our support team at support@esemie.io. Upon termination, access to the Platform will immediately cease and all stored data will be permanently deleted after the required retention period of 3 months.
If you terminate your account before the end of your billing cycle, no refunds will be issued for the remaining period.TERMINATION BY THE PLATFORM (Us)
We reserve the right to suspend or terminate your account, with or without prior notice, under the following circumstances:
- Violation of Terms – If you breach any provision of these Terms & Conditions.
- Fraudulent Activity – If we detect fraudulent or illegal activities associated with your account.
- Excessive Chargebacks – If you dispute transactions excessively or have frequent chargebacks (this is only applicable to users of the payment link feature).
- Misuse of the Platform – If your activities disrupt the Platform’s operations or compromise other users' experiences.
- Compliance & Legal Requirements – If we are required by law enforcement agencies, court orders, or regulators to suspend or terminate your account or if you fail to provide mandatory compliance documents in request.
- Security Risks – If your account poses a security risk to the Platform, such as hacking attempts, API abuse, or credential sharing.
11. DATA RETENTION & ACCESS AFTER TERMINATION
- If your account is terminated or suspended, we may retain your data for a limited period to comply with regulatory requirements, audits, and dispute resolution processes.
- After this period, we will permanently delete your data, except where retention is legally required.
- Users may request a copy of their data before termination by contacting support.
12. APPEAL PROCESS FOR TERMINATION/SUSPENSION**
- If you believe your account was wrongfully suspended or terminated, you may submit an appeal via support@esemie.io within 48 hours of suspension/termination.
- Appeals will be reviewed within 2 business days, and a final decision will be communicated via email.
- If the appeal is successful, your account may be reinstated with or without additional conditions.
13. EFFECT OF TERMINATION
Upon termination:
- Your access to the Platform and all services will be revoked.
- All associated licenses, API keys, and integrations will be deactivated.
- Your data will be deleted after the retention period, except for billing and compliance records.
14. CHANGES TO TERMS & CONDITIONS**
We may update these Terms from time to time. Users will be notified of significant changes via email or a platform notice.
